- Have the legal authority to enter into binding agreements.
- Not be currently engaged in any exclusive partnership with a direct competitor of , unless disclosed and approved.
- Comply with all applicable laws, regulations, and platform policies in your jurisdiction.
Note: reserves the right to verify all information provided during the application process and to reject or terminate partnerships based on inaccurate or misleading information.
3 Program Overview
The Partner Program is designed to create mutually beneficial relationships between and content creators. As a Partner, you will:
- Receive complimentary products for content creation purposes.
- Gain access to the exclusive Partner Portal with campaign briefs, resources, and support.
- Have opportunities to participate in paid campaigns and collaborations.
- Receive an activation card to access the Partner Portal and exclusive features.
- Join a community of like-minded creators and receive ongoing support from our Partner team.
Participation in specific campaigns is subject to availability, brand fit, and performance metrics. does not guarantee any minimum number of campaigns or compensation.
4 Partner Obligations
As a Partner, you agree to:
- Create Quality Content: Produce high-quality, authentic content that aligns with brand values and aesthetic guidelines.
- Meet Deadlines: Complete and publish content within agreed-upon timeframes for each campaign.
- Disclose Partnerships: Clearly disclose your partnership with in accordance with FTC guidelines and platform policies using appropriate hashtags (, #ad, #sponsored).
- Maintain Brand Standards: Represent in a professional, positive manner that reflects our commitment to inclusivity and innovation.
- Provide Analytics: Share performance metrics and insights when requested for campaign evaluation.
- Respond Promptly: Maintain timely communication with the Partner team regarding campaigns and opportunities.
- Protect Products: Use gifted products responsibly and not resell, transfer, or distribute them without authorization.
5 Content Guidelines
All content created as part of the Program must adhere to the following guidelines:
Required:
- Authentic representation of products and their features.
- High-quality imagery and production value consistent with your established aesthetic.
- Appropriate disclosure of the partnership relationship.
- Compliance with all applicable advertising laws and regulations.
Prohibited:
- False or misleading claims about products.
- Content that is offensive, discriminatory, or harmful to any individual or group.
- Use of products or branding in connection with illegal activities.
- Content that features competitor products in direct comparison.
- Unauthorized modifications to logos, trademarks, or brand assets.
- Content that could damage reputation or brand image.
Content Approval: reserves the right to request modifications or removal of content that does not meet brand guidelines. Repeated violations may result in partnership termination.
6 Compensation & Payment
Compensation for Partner activities may include:
- Product Gifting: Complimentary products for personal use and content creation.
- Campaign Stipends: Fixed payments for specific campaign participation, as outlined in individual campaign briefs.
- Performance Bonuses: Additional compensation based on content performance metrics.
- Exclusive Discounts: Personal discount codes for additional purchases.
Payment terms for paid campaigns:
- Payment will be processed within 30 days of campaign completion and content approval.
- Partners are responsible for providing accurate payment information through the Partner Portal.
- Partners are solely responsible for any taxes, fees, or obligations arising from compensation received.
- may require completion of tax documentation (e.g., W-9) before processing payments.
7 Intellectual Property
Intellectual Property:
All trademarks, logos, brand assets, and proprietary materials remain the exclusive property of . Partners are granted a limited, non-exclusive, revocable license to use brand assets solely for approved Program activities.
Partner Content:
By participating in the Program, you grant a non-exclusive, royalty-free, worldwide license to:
- Use, reproduce, modify, and distribute Content created for campaigns.
- Feature your name, likeness, and social media handles in connection with promotional activities.
- Repurpose Content across marketing channels, including but not limited to social media, website, email, and advertising.
This license survives termination of the partnership unless otherwise agreed in writing.
8 Confidentiality
Partners agree to maintain the confidentiality of:
- Unreleased product information, designs, or launch dates.
- Compensation structures and payment details.
- Internal communications and strategy discussions.
- Partner Portal access credentials and exclusive resources.
- Any information designated as confidential by .
This confidentiality obligation survives termination of the partnership for a period of two (2) years.
Important: Breach of confidentiality may result in immediate termination and potential legal action.
9 Termination
Termination by Either Party:
Either party may terminate this partnership at any time, for any reason, with written notice via email to the designated contact.
Immediate Termination by :
may terminate the partnership immediately without notice if the Partner:
- Breaches any material term of these Terms & Conditions.
- Engages in conduct that damages or could damage reputation.
- Violates applicable laws or platform policies.
- Provides false or misleading information.
- Fails to disclose conflicts of interest or competing partnerships.
Effects of Termination:
- Access to the Partner Portal will be revoked.
- Outstanding approved payments will be processed as scheduled.
- Confidentiality obligations remain in effect.
- retains the right to use previously approved Content.
10 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program.
- total liability for any claims arising from the Program shall not exceed the total compensation paid to the Partner in the twelve (12) months preceding the claim.
- makes no guarantees regarding campaign opportunities, compensation levels, follower growth, or any specific outcomes from Program participation.
Some jurisdictions do not allow limitations on implied warranties or liability, so some of the above limitations may not apply to you.
11 Indemnification
You agree to indemnify, defend, and hold harmless , its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your breach of these Terms & Conditions.
- Your violation of any applicable law or regulation.
- Your Content, including any claims of intellectual property infringement.
- Any false or misleading statements made by you regarding or its products.
- Your negligent or wrongful acts or omissions.
12 Modifications to Terms
reserves the right to modify these Terms & Conditions at any time. Changes will be effective upon posting to the Partner Portal or notification via email.
Continued participation in the Program after such modifications constitutes acceptance of the updated terms. If you do not agree with the modified terms, you may terminate your participation as outlined in Section 9.
Material changes will be communicated with at least fourteen (14) days notice when practicable.
13 Governing Law & Disputes
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes arising from these terms or the Program shall be resolved through:
- Informal Resolution: Good faith negotiations between the parties for a period of thirty (30) days.
- Mediation: If negotiations fail, non-binding mediation in Los Angeles County, California.
- Arbitration: Binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Los Angeles, California.
Each party waives any right to pursue claims on a class or representative basis.
